This Vendor Agreement is a legal contract between all service providers (vendors) who publish services, products, events, rentals, or classified listings on the Skillvex platform. You may use our platform only if you agree to the terms and conditions outlined herein.

By creating a vendor account on Skillvex, you accept all terms and conditions of this Vendor Agreement.

Definitions:-

  • “Skillvex” – Our website and mobile platform, Skillvex.com.
  • “Vendor/Service Provider/Partner” – The individual/entity that offers services or listings on Skillvex.
  • “User/Customer” – The individual who makes a booking/ordering of services through Skillvex.
  • “Platform” – All online features provided by Skillvex.

Scope of the agreement:-

  • Sellers can list their services (e.g., doctor appointments, fitness classes, beauty services, event planning, etc.) on the Skillvex platform and create a digital shop.
  • The platform will facilitate online bookings for users and handle payment processing.

Vendor Registration and Verification :-

Vendors must provide the following information when creating an account on Skillvex:-

  • Name and mobile number.

  • Email address.

  • Business/service information.

  • KYC documents (where required)

  • Bank account information (for payouts)

Skillvex may verify vendors if necessary.

  • Sellers must provide accurate business details, contact information, service descriptions, fees, available hours, and their policies.
  • All information must be accurate, up-to-date, and not misleading. The platform reserves the right to remove or suspend listings with inaccurate information.

Vendor Responsibilities :-

The vendor will adhere to the following:-

  • All services/products provided must be accurate and authentic.

  • Do not post false information, misleading advertisements, or fraudulent listings.

  • Maintain the quality of service.

  • Do not engage in any form of misconduct or fraud with customers.

  • Complete appointments on time and respond appropriately to customer messages/calls.

  • Comply with all applicable laws, taxes, and government regulations.

  • Manage your own listing prices, discounts, and terms and conditions.

  • The vendor will provide the listed services while adhering to appropriate standards of quality, professionalism, and safety.

  • The vendor confirms that they are legally authorized to provide the services and possess the necessary licenses or certifications.

  • The vendor will maintain confidentiality regarding the platform’s operations and customer data.

Prohibited Activities:-

Skillvex does not permit vendors to engage in the following activities. Any vendor who violates Skillvex’s terms and conditions may be subject to legal action.

  • Listing illegal services.

  • Posting counterfeit or copyrighted material.

  • Conducting transactions with customers outside the platform.

  • Violating any of Skillvex’s terms and conditions.

  • Using abusive, threatening, or offensive language.

  • Interfering with the platform’s technical systems.

In case of violation, the vendor’s account may be terminated without prior notice.

Payment and Payout Terms:-

A. – Customer Payments

  • Payments made by the user are first received by Skillvex’s payment gateway.

  • Skillvex releases the payout to the vendor after their service/booking is completed.

  • All customer payments will be processed through the payment platform. The seller does not agree to accept direct payments from customers or engage in cash transactions.

B. –  Commission/Charges

  • Skillvex charges a fixed commission/platform fee from the vendor per booking.

  • The percentage/amount will be mentioned in the vendor dashboard or contract.
  • For each successful booking, the platform will charge a fee at a pre-agreed commission rate. The remaining amount will be transferred to the seller.

C. –  Payout Time

  • The amount due to the vendor will be paid on a monthly basis, based on the total amount collected from all completed bookings in the previous month. Payments will be made only to a bank account.

  • Typically, Skillvex processes (sends) the money within 2-3 business days. However, it may take 3-7 business days for the funds to be credited to your bank account.

  • The time may be slightly longer due to holidays, bank delays, or technical issues.

D.  – Tax liability

  • The seller is solely responsible for all taxes (such as GST) applicable to their income and will provide the necessary tax documents to the platform.

Cancellation and Refund Policy (Vendor Responsibility):-

  • If the customer cancels the booking, the refund will be processed according to the platform’s policy.

  • The customer will get a complete refund if the vendor cancels the reservation (Booking), and the vendor will be held accountable.

  • Vendors may be subject to penalties for unjustified cancellations.

Vendor Content and Intellectual Property:-

  • Photos, videos, text, or listing content uploaded to SkillvexMust be owned by the vendor.

  • Must not infringe on the rights of any person/brand.

  • You grant Skillvex the right to display this content on the platform.

Ratings and Feedback:-

  • The ratings and reviews provided by customers are the property of Skillvex.

  • Vendors cannot pressure Skillvex to remove reviews.

  • Skillvex may remove inappropriate/fake reviews, but this is at its sole discretion.

Limitation of Liability:-

Skillvex is not responsible for any of the following:-

  • Vendor service quality,

  • Failure to provide services on time,

  • Disputes between the vendor and the customer,

  • Losses, damages, or legal claims.

  • Disputes will be resolved between the vendor and the customer.

  • The platform is merely a technical intermediary. The platform will not be responsible for the quality of service, disputes, or any incidents that occur between the seller and the customer.

  • This agreement may be terminated at any time by either party with 30 days’ written notice.

  • In cases of fraud, violation of terms, or unethical conduct, the platform may immediately suspend or remove the seller’s listing.

Account Suspension/Termination:-

Skillvex may suspend or terminate a vendor’s account for the following reasons:-

  • Violation of terms and conditions

  • Poor customer experience

  • Fraudulent bookings

  • Promotion of illegal services

  • Incorrect KYC/False information

Privacy and Data Security:-

  • The vendor will comply with Skillvex’s Privacy Policy.
  • Customers’ personal information may only be used for the purpose of providing the service.

Governing Law and Jurisdiction:-

  • This Vendor Agreement shall be governed by and construed in accordance with the laws of India.

  • Any disputes shall be settled in the competent courts having jurisdiction.
